1. Agreement to Terms

By accessing or using VylioPass ("Platform", "Service", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you") and VylioPass Systems LLC, a company registered in Dubai, United Arab Emirates ("Company").

If you are using VylioPass on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Platform Description

VylioPass provides event ticketing infrastructure including:

  • Event creation, management, and promotion tools
  • Ticket sales, inventory management, and dynamic pricing
  • Attendee registration, check-in, and access control
  • Payment processing through Stripe and local payment gateways
  • Payout processing to event organizers
  • Analytics, reporting, and data insights
  • API access for third-party integrations
  • AI-powered features (fraud detection, recommendations, chat assistance)

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with reasonable notice where practicable.

3. Account Registration & Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover or suspect any security breaches related to your account
  • Not create multiple accounts for the same entity without authorization

You are responsible for all activity that occurs under your account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Organizer Responsibilities

As an event organizer ("Organizer"), you are solely responsible for:

  • Event Accuracy: Providing accurate event information including dates, times, locations, pricing, and descriptions
  • Legal Compliance: Obtaining all necessary permits, licenses, and insurance for your events
  • Consumer Protection: Complying with UAE Consumer Protection Law (Federal Law No. 15 of 2020) and applicable international regulations
  • Refund Policies: Clearly stating and honoring your refund and cancellation policies
  • Ticket Fulfillment: Delivering tickets and providing event access as promised
  • Content: Ensuring all event content (images, descriptions, etc.) does not infringe third-party rights
  • Tax Obligations: Collecting and remitting applicable taxes (VAT, sales tax, etc.)
  • Data Protection: Handling attendee data in accordance with applicable privacy laws

You represent and warrant that you will not use VylioPass for fraudulent, illegal, or harmful activities, including but not limited to:

  • Creating fake events or misleading descriptions
  • Selling counterfeit tickets
  • Engaging in price gouging or deceptive pricing
  • Violating sanctions or export control laws
  • Facilitating money laundering or terrorist financing

5. Purchaser Responsibilities

As a ticket purchaser ("Purchaser"), you agree to:

  • Provide accurate contact and payment information
  • Comply with the event organizer's terms, conditions, and venue rules
  • Use tickets solely for personal attendance (unless explicitly permitted for resale)
  • Not use automated systems, bots, or scripts to purchase tickets
  • Not resell tickets above face value unless authorized by the organizer
  • Not use tickets for commercial purposes without organizer consent

Refund Policy:Tickets are generally non-refundable unless the organizer's policy allows it, the event is cancelled, or required by applicable law. VylioPass acts as a platform and does not guarantee refunds unless we are the event organizer.

6. Fees & Payment Processing

Platform Fees: VylioPass charges platform fees as disclosed during checkout and in your pricing plan. Fees may include:

  • Per-ticket service fees (percentage + fixed amount)
  • Monthly subscription fees (for paid plans)
  • Payment processing fees (charged by Stripe and payment processors)
  • Currency conversion fees (for cross-border transactions)

Payouts: Organizers receive payouts to their designated bank accounts. Payout schedules vary by plan and region. VylioPass reserves the right to hold payouts for review if suspicious activity is detected.

Payment Security: Payment processing is handled by Stripe, a PCI DSS Level 1 certified processor. VylioPass does not store full credit card numbers or CVV codes.

Taxes: Organizers are responsible for collecting and remitting applicable taxes. VylioPass may collect and remit taxes on behalf of organizers where required by law.

7. Intellectual Property Rights

Your Content: You retain ownership of content you upload to VylioPass (event images, descriptions, logos, etc.). You grant VylioPass a non-exclusive, worldwide, royalty-free license to display, distribute, and use your content solely for the purpose of providing the Platform.

VylioPass Content: The VylioPass platform, including but not limited to software, design, logos, and trademarks, is owned by VylioPass Systems LLC and protected by UAE and international intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform without explicit written permission.

User Feedback: If you provide feedback or suggestions, you grant VylioPass the right to use such feedback without restriction or compensation.

8. Prohibited Conduct

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload malicious code, viruses, or engage in any activity that disrupts the Platform
  • Attempt to gain unauthorized access to other accounts or systems
  • Scrape, mine, or extract data from the Platform without authorization
  • Use the Platform to transmit spam, phishing, or malicious content
  • Impersonate any person or entity, or misrepresent your affiliation
  • Interfere with or disrupt the integrity or performance of the Platform
  • Circumvent any security measures or access controls
  • Use the Platform in any way that could damage, disable, or impair it

9. AI & Automation Features

VylioPass may provide AI-powered features including but not limited to:

  • Fraud detection and prevention
  • Event recommendations
  • Automated customer support
  • Content generation and suggestions
  • Analytics and insights

You acknowledge that AI-generated content may contain errors or inaccuracies. VylioPass does not guarantee the accuracy of AI outputs and you are responsible for reviewing and verifying any AI-generated content before use.

VylioPass may use AI to analyze your data for fraud prevention, service improvement, and personalization. This processing is conducted in accordance with our Privacy Policy.

10. Data Protection & Privacy

Your use of VylioPass is also governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.

UAE Data Protection: VylioPass complies with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (UAE PDPL). For users in the European Economic Area (EEA), we comply with the General Data Protection Regulation (GDPR). See our GDPR Compliance page for details.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYLIOPASS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Event cancellations, postponements, or changes made by organizers
  • Disputes between organizers and attendees
  • Technical failures, including but not limited to payment processing errors, system outages, or data loss
  • Actions of third parties, including payment processors, venues, or attendees
  • Force majeure events (natural disasters, pandemics, government actions, etc.)

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO VYLIOPASS IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on implied warranties or liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless VylioPass, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any events you organize or attend through the Platform
  • Any content you upload or transmit

13. Termination

By You: You may terminate your account at any time by contacting support or using the account deletion feature.

By Us: We reserve the right to suspend or terminate your account, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Prolonged inactivity (12+ months)
  • Any other reason at our sole discretion

Upon termination, your right to use the Platform ceases immediately. We may retain your data as required by law or as necessary to fulfill legal obligations, resolve disputes, and enforce our agreements.

14. Dispute Resolution

Governing Law: These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

Arbitration: For disputes outside the UAE, you agree to resolve disputes through binding arbitration under the Dubai International Arbitration Centre (DIAC) rules. The arbitration shall be conducted in English, and the award shall be final and binding.

Class Action Waiver: YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Force Majeure

VylioPass shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, acts of government, war, terrorism, labor disputes, internet outages, or third-party service failures.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on the Platform with a new "Last updated" date
  • Sending an email to the address associated with your account (for material changes)
  • Displaying a prominent notice on the Platform

Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

17. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by VylioPass, constitute the entire agreement between you and VylioPass regarding your use of the Platform.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. VylioPass may assign these Terms without restriction.
